Terms of Service

These Terms govern your use of Memo Video Guestbook (the iOS app, also referred to as "Memo") provided by Teineteine OÜ, a company registered in Estonia ("we", "us", "our"). By downloading, purchasing, or using Memo, you agree to these Terms. If you download Memo through the Apple App Store, Apple’s terms and rules also apply to your use of the app and any in-app purchases.

1. What Memo Does

Memo turns an iPad into a video guestbook for events. The host or operator sets up prompts, photos, languages, and recording settings, then lets guests record short video messages. Recordings are saved to the device Photo Library. Memo is designed to work offline and does not upload videos to our servers.

2. Event Host Responsibility

  • You are responsible for how Memo is used at your event, including deciding what is recorded, who may record, and how recordings are later used, shared, or deleted.
  • You must inform guests that video and audio recording is taking place and obtain any consent or other legal basis required under applicable law. This is especially important for children, employees, vulnerable people, or events in private or sensitive settings.
  • Do not use Memo for covert recording where notice or consent is required, or to create unlawful, harassing, defamatory, discriminatory, sexually explicit, violent, infringing, or otherwise harmful content.
  • You are responsible for complying with privacy, publicity, copyright, venue, employment, and event rules that apply to your use of the recordings.

3. Licence and Acceptable Use

  • We grant you a limited, non-exclusive, non-transferable licence to use Memo on Apple-branded devices that you own or control, as permitted by Apple’s usage rules and these Terms.
  • Do not copy, modify, resell, rent, sublicense, reverse engineer, decompile, interfere with, or bypass Memo, its purchase flow, watermarking, device-locking, security, or usage limits, except where applicable law expressly allows this despite this restriction.
  • If you are under the age required to agree to these Terms in your jurisdiction, you may use Memo only with involvement and permission from a parent or legal guardian.

4. Recordings and Content

  • We do not claim ownership of your event recordings, prompts, photos, or other content you create or configure in Memo.
  • Recordings stay on the device unless you, Apple, the device owner, or another app or service you use exports, syncs, backs up, deletes, or shares them.
  • You are responsible for backing up, exporting, safeguarding, reviewing, sharing, and deleting videos after your event. We are not responsible for lost, deleted, corrupted, inaccessible, or unsatisfactory recordings caused by device issues, iOS settings, Photos or iCloud settings, storage limits, app removal, hardware failure, guest or operator error, or third-party services.
  • Before relying on Memo at an event, you must test it on the actual device and setup you plan to use, including camera, microphone, Photo Library access, device storage, orientation, power, guided access or kiosk setup, pass status, and a sample recording.
  • Free use may include a watermark or other preview limitations shown in the app. Purchasing an active pass removes the applicable limitations only for recordings made during the active pass period. Watermarks or limitations already applied to earlier recordings cannot be removed retroactively.

5. Purchases and Event Passes

  • Memo offers optional consumable in-app purchases, including a 5-day event pass and a 1-day extension. The product, duration, local price, taxes, and purchase confirmation are shown in the app and Apple purchase sheet before you buy.
  • Payments, billing, receipts, tax handling, family purchase controls, and refunds are handled by Apple under Apple’s Media Services Terms and Conditions and App Store rules. We do not receive your payment card details and cannot issue App Store refunds directly. Refund requests must be made to Apple, for example via reportaproblem.apple.com.
  • Single device, non-transferable. A pass unlocks Memo only on the device used to buy it. The entitlement is stored on that device and verified locally through StoreKit. It is not an account, is not shared across devices, and cannot be moved to another device.
  • No restore across devices. Passes are consumable and device-bound. Losing, damaging, resetting, replacing, upgrading, or erasing the device, switching Apple IDs, or deleting device data may cause loss of the pass and does not entitle you to a re-issue, transfer, or refund except where mandatory law or Apple’s policies require otherwise. Reinstalling Memo on the same device may preserve an active pass while it remains valid if the local entitlement is still available.
  • Time-limited. Passes activate immediately on purchase and expire after the stated duration. A 1-day extension, if available and purchased while a pass is active, adds time to the active pass. We do not pause, bank, or reschedule pass time for events that are postponed, cancelled, delayed, or moved.
  • Immediate supply and withdrawal rights. A pass is digital content supplied immediately. Where consumer law gives you a withdrawal right for digital content, by confirming the purchase and activating the pass you request immediate supply and acknowledge that you may lose that withdrawal right once supply begins, to the extent permitted by applicable law. This does not limit any mandatory rights you cannot waive.
  • Refunds. Except where required by mandatory consumer law or Apple’s policies, purchases are non-refundable. This includes cases where no recordings were captured, recordings did not meet expectations, the device was unavailable or misconfigured, the event was cancelled or postponed, or the pass went unused. 6. Privacy

Your use of Memo is subject to our Privacy Policy.

7. Apple-Specific Terms

  • These Terms are between you and Teineteine OÜ, not Apple. Apple is not responsible for Memo or your recordings.
  • Apple has no obligation to provide maintenance or support for Memo. We are responsible for app support as described in these Terms.
  • If Memo fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price for the app or in-app purchase where Apple’s rules require it. To the maximum extent permitted by law, Apple has no other warranty obligation for Memo.
  • We, not Apple, are responsible for addressing claims relating to Memo, including product liability claims, legal or regulatory compliance claims, consumer protection claims, and intellectual property infringement claims, subject to these Terms and applicable law.
  • You must comply with applicable third-party terms when using Memo, including Apple’s terms. You also represent that you are not located in a country or on a list where Apple or applicable sanctions law prohibits use of the app.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-specific provisions against you.

8. Disclaimers and Liability

  • Memo is provided "as is" and "as available" to the maximum extent permitted by law. We do not guarantee uninterrupted operation, compatibility with every device or iOS version, suitability for your event, or that any recording will be captured, saved, preserved, or meet your expectations.
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer rights, liability for death or personal injury caused by negligence, intentional misconduct, or other non-excludable liability.
  • To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or business losses, loss of profits, loss of data, loss of recordings, lost opportunities, event disruption, or emotional distress arising from or related to Memo.
  • To the maximum extent permitted by law, our total liability for claims related to Memo is limited to the amount you paid to use Memo in the 12 months before the claim or €10, whichever is greater.

9. Termination and Changes

  • You may stop using Memo at any time by deleting the app.
  • We may update Memo or these Terms to reflect changes in the app, law, Apple rules, or our business. Changes take effect when posted, unless a later date is stated. Continued use after changes means you accept the updated Terms.
  • We may suspend or stop providing Memo if necessary for security, legal, App Store, technical, or business reasons. This does not affect rights you may have under mandatory consumer law.

10. Governing Law and Disputes

These Terms are governed by the laws of Estonia. If you are a consumer, mandatory consumer protections of your country of residence may also apply and nothing in these Terms limits those protections. Please contact us first so we can try to resolve the issue. If you are an EU/EEA consumer, you may also contact your local consumer protection authority. In Estonia, consumer disputes may be handled by the Consumer Disputes Committee operating under the Consumer Protection and Technical Regulatory Authority (TTJA), where applicable.
